The rules that govern your access to and use of the RosterLoop platform.

AGREEMENT TO TERMS
These Terms of Use ("Terms") govern your access to and use of the RosterLoop scheduling platform and related services ("Service") provided by RosterLoop LLC ("RosterLoop," "we," "us," or "our").
By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not use the Service.

1. DESCRIPTION OF SERVICE
RosterLoop is a cloud-based employee scheduling and workforce management platform designed primarily for Amazon Delivery Service Partners (DSPs) and logistics operators. The Service allows organizations to:

Create and publish weekly, daily, and biweekly employee schedules

Manage shift assignments, call-outs, and attendance across one or more locations
-
Receive automated alerts for DOT compliance risks, overtime, and scheduling conflicts
-
Communicate schedule information to drivers and staff
RosterLoop is a scheduling and communication tool only. It does not act as an employer, payroll provider, HR advisor, or compliance officer. Customers are solely responsible for ensuring their use of the platform complies with all applicable labor laws and regulations.
2. FREE TRIAL
RosterLoop offers a 14-day free trial on all plans (Starter, Pro, Scale, and Enterprise). The following conditions apply:

No credit card is required to start a free trial

All features included in the selected plan are available during the trial

At the end of the 14-day trial period, access will be suspended unless a paid subscription is activated

No charges are applied if you do not activate a paid subscription before the trial ends

Each organization is eligible for one free trial per plan
RosterLoop reserves the right to modify or discontinue the free trial offer at any time with reasonable notice.
3. ACCOUNT REGISTRATION
To use RosterLoop, you must create an account and provide accurate, current, and complete information. You agree to:

Provide truthful registration information and keep it up to date

Maintain the confidentiality of your login credentials

Notify RosterLoop immediately at info@rosterloop.com if you suspect unauthorized access to your account

Ensure that all users added to your account comply with these Terms
RosterLoop is not liable for any loss or damage resulting from unauthorized access caused by your failure to maintain account security.
4. USER ROLES & RESPONSIBILITIES
RosterLoop accounts support multiple user roles:

Owner — full administrative control, including billing and account management

Admin — can create and manage schedules and user accounts within the organization

Member — standard user access limited to viewing and interacting with assigned schedules
Account Owners and Admins are responsible for managing user permissions appropriately and ensuring that access levels are maintained accurately as personnel changes occur.
5. SUBSCRIPTION PLANS & BILLING
Plan Limits
RosterLoop subscription plans are subject to user count limits:
Starter — up to 60 users $119/month
Pro — up to 100 users $179/month
Scale — up to 150 users $239/month
Enterprise — up to 200 users $299/month
User limits apply to active users within a single organization account. Accounts may not be shared across separate DSP businesses or entities. Each independently operating business location requiring its own management hierarchy must maintain a separate subscription.
Billing & Renewals
Subscriptions are billed on a monthly basis. Charges are applied automatically at the start of each billing cycle using the payment method on file. Subscription fees are non-refundable except where required by law.
Upgrades & Downgrades
You may change your plan at any time. Upgrades take effect immediately with prorated billing for the remainder of the current cycle. Downgrades take effect at the start of the next billing cycle. If a downgrade would result in your active user count exceeding the new plan limit, you must reduce active users before the downgrade can be processed.
6. ACCEPTABLE USE
You agree to use RosterLoop only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service for any purpose that violates applicable local, state, federal, or international law

Attempt to gain unauthorized access to the platform, other accounts, or RosterLoop's systems

Upload, transmit, or distribute malicious code, viruses, or any content intended to disrupt the Service

Reverse engineer, decompile, or attempt to extract the source code of the platform
-
Resell, sublicense, or otherwise make the Service available to third parties without authorization
-
Use automated tools (bots, scrapers) to access or collect data from the platform
-
Impersonate another person or organization
RosterLoop reserves the right to suspend or terminate any account found to be in violation of these provisions, with or without prior notice depending on the severity of the violation.
7. SERVICE AVAILABILITY
RosterLoop targets 99.9% monthly platform uptime. We strive to maintain continuous availability but do not guarantee uninterrupted access. The following may cause temporary service interruptions:

Scheduled maintenance (announced in advance via email when possible)

Emergency security patches or infrastructure updates
-
Events beyond our reasonable control (force majeure)
RosterLoop is not liable for any losses or damages resulting from temporary service interruptions. We will communicate significant outages through the platform and via email to account owners.
8. INTELLECTUAL PROPERTY
The RosterLoop platform, including its design, features, code, trademarks, and content, is owned by RosterLoop LLC and protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in the platform.
You retain full ownership of all data and content you enter into RosterLoop (such as employee names, schedules, and operational records). By using the Service, you grant RosterLoop a limited license to process and store your data solely for the purpose of providing the Service.
You are responsible for the data you upload about your employees, drivers, and staff. You represent and warrant that you have all necessary rights, permissions, and legal basis to provide this data to RosterLoop and to have it processed through the Service, and that doing so complies with applicable privacy and labor laws. RosterLoop acts only as a processor of this data on your behalf, and you remain responsible as the controller of your workforce data.
Data Processing Addendum
Our processing of personal data on your behalf is further governed by our Data Processing Addendum (“DPA”), available at rosterloop.com/data-processing. The DPA is incorporated into and forms part of these Terms. By accepting these Terms, you also agree to the DPA, and no separate signature is required.
9. ACCOUNT TERMINATION
Cancellation by Customer
You may cancel your subscription at any time through your account billing settings. Cancellation takes effect at the end of the current billing cycle. After cancellation, your account enters a 60-day data retention window as described in the Data Retention section of our Privacy Policy.
Termination by RosterLoop
RosterLoop reserves the right to suspend or terminate your account immediately if you:

Violate these Terms of Use

Fail to resolve a payment failure within the retry window
-
Engage in abusive, fraudulent, or harmful conduct toward the platform or other users
Where feasible, RosterLoop will provide notice before termination and an opportunity to remedy the violation.
10. LIMITATION OF LIABILITY
RosterLoop provides the Service on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by applicable law, RosterLoop's total liability to you for any claims arising from or related to the Service shall not exceed the total amount paid by you to RosterLoop in the twelve (12) months immediately preceding the claim.
In no event shall RosterLoop be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, even if advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of
liability. In such cases, our liability will be limited to the fullest extent permitted by law.
11. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Broward County, Florida.
12. CHANGES TO TERMS
RosterLoop may update these Terms from time to time to reflect changes in our practices, legal requirements, or platform features. When material changes are made, we will notify account owners by email at least 14 days before the changes take effect.
Continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must cancel your subscription before the effective date.
